FinCEN Updates Beneficial Ownership Reporting Rules: U.S. Companies Exempt, New Deadlines Set for Foreign Entities

Bridgette 1

On March 2, 2025, the U.S. Department of the Treasury announced significant changes to beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act. In response, the Financial Crimes Enforcement Network (FinCEN) has issued an interim final rule, effective immediately, that eliminates the obligation for U.S.-formed companies and U.S. individuals to submit BOI reports. This shift narrows the scope of reporting to foreign entities operating in the U.S., while introducing updated compliance deadlines for those entities.

Key Changes to Reporting Requirements

Under the new rule, FinCEN has redefined “reporting company” to include only entities formed under foreign laws that are registered to do business in any U.S. state or Tribal jurisdiction through a filing with a secretary of state or similar office. These entities, previously classified as “foreign reporting companies,” remain subject to BOI reporting obligations unless they qualify for an exemption.

Conversely, entities formed in the United States—formerly known as “domestic reporting companies”—are now entirely exempt from these requirements. This exemption extends to their beneficial owners, meaning U.S. companies and individuals will no longer need to report BOI to FinCEN.

Implications for Foreign Entities

Foreign entities that fall under the revised “reporting company” definition must still comply with BOI reporting, but with a notable exception: they are not required to identify U.S. persons as beneficial owners. Similarly, U.S. individuals who hold beneficial ownership in these foreign entities are relieved of any reporting obligations related to those interests.

To accommodate this transition, FinCEN has established new deadlines for foreign reporting companies to submit their BOI. [Insert specific deadlines here if provided in future updates or link to FinCEN’s official guidance for details.]

What This Means for Businesses

This regulatory update reflects a significant shift in compliance burdens, easing requirements for U.S.-based businesses while maintaining oversight of foreign entities operating domestically. Companies with international ties should review their status under the revised rule to determine if they remain subject to reporting and, if so, ensure timely compliance with the new deadlines.
